Item 8.01
Other Events.

On June 8, 2020, Inuvo, Inc. (the “Company”) closed its previously announced registered direct offering (the “Offering”) of an aggregate of 12,222,222 shares of the Company’s common stock, par value $0.001 per share (the “Common Stock”), at a price of $0.45 per share, for gross proceeds of $5,500,000, before deducting placement agent fees and other offering expenses. Following the Offering, the Company had an aggregate of 75,399,139 shares of Common Stock outstanding.
 
On June 8, 2020, the Company issued a press release announcing the closing of the Offering. A copy of the press release is furnished as Exhibit 99.1 and is incorporated herein by reference.
