Item 8.01. Other Events.

 

On June 8, 2020, Adial Pharmaceuticals, Inc. (“Adial” or the “Company”) issued a press release announcing that it had entered into a Distribution Agreement (“Distribution Agreement”) with BioLab Sciences, Inc. (“BioLab”), a regenerative biotechnology company, to purchase and resell its Rapid Result COVID-19 IgG / IgM test kits, which test for the antibodies indicating potential previous exposure and possible resistance to COVID-19. The Company initially purchased 500 Rapid Result COVID-19 antibody tests from BioLab, which are intended to be used to test subjects enrolled in its ongoing landmark ONWARD™ pivotal Phase 3 clinical trial. The Distribution Agreement provides Adial with exclusive rights to sell Rapid Result COVID-19 antibody test kits to designated channel partners.
