Section 5 - Corporate Governance and Management

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b)    Departure of a Director

On June 3, 2020, the Board of Directors of Daktronics, Inc. received notice that Nancy D. Frame is retiring from the Board of Directors effective September 2, 2020. Ms. Frame has served on the Board since 1999, chairperson of the Nominating and Corporate Governance Committee since 2004, and Lead Independent Director since 2005.

(d)    Election of a Director

On June 3, 2020, the Board of Directors of Daktronics, Inc. nominated Dr. José-Marie Griffiths as a member of the Board. She will stand for election at the Annual Meeting of the Shareholders to be held on September 2, 2020. Dr. Griffiths has no arrangement or understanding with any person pursuant to which she was selected as a director of the company.
