On June 4, 2020 CQENS Technologies Inc. closed Stock Purchase Agreements with seven non-U.S. persons pursuant to which we sold an aggregate of 248,450 shares of our common stock at a purchase price of $4.83 per share in transactions exempt from registration under the Securities Act of 1933, as amended, in reliance on exemptions available under Section 4(a)(2) of that act and Regulation S promulgated thereunder. We received gross proceeds of $1,200,000 in these transactions and did not pay any commissions or finder’s fees. We are using the proceeds for working capital. The form of Stock Purchase Agreement is filed as Exhibit 10.1 to this report.
