Item    1.01 Entry into a Material Definitive Agreement.

Director Indemnification Agreements

On March 6, 2020, the board of directors (the “Board”) of Steadfast Apartment REIT, Inc., a Maryland corporation (the “Company”), elected Ned W. Brines and Stephen R. Bowie as members of the Board. On May 21, 2020, the Board approved, and the Company and each of Mr. Brines and Mr. Bowie entered into, an Indemnification Agreement that provides for indemnification and reimbursement of expenses for claims or potential claims relating to service as a director to the fullest extent permitted under Maryland law and the Company’s charter.

The foregoing description of the Indemnification Agreement is only a summary, does not purport to be complete and is qualified in its entirety by reference to the full text of the Form of Indemnification Agreement, which is filed as Exhibit 10.1 hereto and is incorporated herein by reference.
