Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On May 16, 2020, the Board of Directors of Identiv, Inc. (the “Company”) approved amendments to the Company’s Amended and Restated Bylaws to amend Section 1.1 to allow for annual meetings to be held virtually and to amend Section 1.9 to provide for the stockholder list to be kept at the Company’s principal place of business and to delete language specifying the format of such stockholder list.

The foregoing summary of the amendments to the Company’s Amended and Restated Bylaws is qualified in its entirety by reference to the full text of the Company’s Amended and Restated Bylaws, a copy of which is filed as Exhibit 3.1 hereto and incorporated herein by reference.
