Item 8.01 Other Events.

Atlas Financial Holdings, Inc. (the “Company”) will be relying on the Securities and Exchange Commission’s Order under Section 36 of the Securities Exchange Act of 1934 Modifying Exemptions from the Reporting and Proxy Delivery Requirements for Public Companies dated March 25, 2020 (Release No. 34-88465) (the “Order”) to delay the filing of its Quarterly Report on Form 10-Q for the quarter ended March 31, 2020 (the “Quarterly Report”) due to circumstances related to the coronavirus disease 2019 (“COVID-19”).

As previously announced in the Company’s Current Report on Form 8-K filed on March 30, 2020, the preparation of the Company’s Annual Report on Form 10-K for the year ended December 31, 2019 (the “Annual Report”) has been delayed. The Company’s operations and business have experienced disruption due to the unprecedented conditions surrounding COVID-19, which has caused a change in the availability of our support services, and we have had to modify our business practices including employee work locations and cancellation of physical participation in meetings. In addition, as previously disclosed, certain of the Company’s subsidiaries are in rehabilitation, and due to court closures in Illinois resulting from COVID-19, the ability to obtain court orders relating to the rehabilitation has been delayed, which among other things, results in uncertainties with respect to the status of such subsidiaries for purposes of the Company’s annual audit. The Company’s management has had to devote significant time and attention to assessing the potential impact of COVID-19 and related events on the Company’s operations and financial position and developing operational and financial plans to address those matters, which has diverted management resources from completing all of the tasks necessary to file the Annual Report by its March 30, 2020 due date and the Quarterly Report by its May 15, 2020 due date.

Due to these disruptions, the Company previously experienced additional delays in completing and filing its Quarterly Reports on Form 10-Q for the quarters ended June 30, 2019 and September 30, 2019 (collectively, the “Periodic Reports”), which were filed late as previously disclosed. As a result of the disruptions and uncertainties described above and the additional time needed for the Periodic Reports and the Annual Report, the Company’s ability to prepare the Quarterly Report is delayed. Consequently, management is currently unable to timely review and prepare the Company’s financial statements for the quarter ended March 31, 2020. The Company expects to file its Quarterly Report as soon as practicable following the filing of the Annual Report.
