Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
 On May 14, 2020, the Board of Directors (the “Board”) of Protective Insurance Corporation (the “Company”) adopted and approved amendments to the Company’s Code of By-Laws as recommended to the Board by the Special Committee, which became effective immediately. Pursuant to the amendments, in addition to certain ministerial changes:
Section 8.1 was added to provide the Company the right to redeem certain shares acquired in a “control share acquisition” (as defined in Indiana Business Corporation Law Section 23-1-42-1, et seq.) in certain circumstances; and
Section 8.2 was added to provide the Company the right to redeem certain shares held by shareholders who, together with affiliates, associates and any group of which they are a part, beneficially own more than 10% of the Company’s outstanding Class A shares, subject to certain exceptions (including exceptions for qualifying institutions, passive investors and certain other specified shareholders).
The foregoing summary of the amendments to the Code of By-Laws is qualified by reference to the full text of the Code of By-Laws, as amended, a copy of which is filed herewith as Exhibit 3.2 and incorporated herein by reference. In addition, a marked copy of the Code of By-Laws, showing all amendments approved on May 14, 2020, is attached as Exhibit 3.2.1.
