Item 8.01. Other Events.

 

Due to the outbreak of coronavirus disease 2019 (COVID-19), MediXall Group, Inc. (the “Company”) is filing this Current Report on Form 8-K to avail itself of an extension to file its Quarterly Report on Form 10-Q for the quarterly period ended March 31, 2020 (the “Quarterly Report”), originally due on May 15, 2020, relying on an order issued by the Securities and Exchange Commission (the “SEC”) on March 25, 2020 pursuant to Section 36 of the Securities Exchange Act of 1934, as amended (Release No. 34-88465) (the “Order”), regarding exemptions granted to certain public companies.


In March 2020, the World Health Organization declared COVID-19 a global pandemic and recommended containment and mitigation measures worldwide. We are monitoring this closely, and although operations have not been materially affected by the COVID-19 outbreak to date, the ultimate duration and severity of the outbreak and its impact on the economic environment and our business is uncertain. As of May 14, 2020, Broward County, Florida, the county in which the Company maintains its principal executive office, remains under a stay at home order and the majority of our accounting personnel are working remotely. This is hampering our ability to collect and analyze the information needed to prepare and file timely the Quarterly Report .


The Company’s operations and business have experienced disruption due to the unprecedented conditions surrounding the COVID-19 pandemic spreading throughout world, including in the United States, and therefore, the Company is unable to timely review and prepare the Company’s unaudited financial statements for the quarterly period ended March 31, 2020. In addition, a severe or prolonged economic downturn could result in a variety of risks to our business, including the need to continue performing key tasks remotely, including audit and review services of our financial statements. At this time, the Company is unable to estimate the impact of this event on its operations.

 

As such, the Company will be relying upon the 45-day grace period provided by the SEC’s Order to delay filing of the Quarterly Report. The Company will file its Quarterly Report no later than June 29, 2020, 45 days after the original due date of the Quarterly Report.
