SECTION 5 — CORPORATE GOVERNANCE AND MANAGEMENT

ITEM 8.01 Other Events.

The issuer will be unable to file its 2020 10Q for First Quarter 2020 by the timely due date of 5/15/20 and therefore request an extension for late filing by June 30,2020. Our request for an extension of time relies upon [Release No. 34-88465 / March 25, 2020] ORDER UNDER SECTION 36 OF THE SECURITIES EXCHANGE ACT OF 1934 MODIFYING EXEMPTIONS FROM THE REPORTING AND PROXY DELIVERY REQUIREMENTS FOR PUBLIC COMPANIES. Our office is in New York City at the heart of the Coved 19 Outbreak and have been on a stay at home order for our Governor for weeks so far and our CPA firm is in Jersey City, NJ, a City in the Tri-State most affected area (NY, NJ. CT) and due to their own limitations, was not able to deliver timely completed 10Q financial statements for the First Quarter of 2020.
