Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On May 8, 2020, Sam Haffar resigned as a director of American Virtual Cloud Technologies, Inc. (the “Company”). There were no disagreements between Mr. Haffar and the Company on any matter relating to the Company’s operations, policies or practices, which resulted in his resignation. A copy of the press release issued by the Company regarding Mr. Haffar’s resignation and certain other changes in the management of the Company and one of its subsidiaries is attached hereto as Exhibit 99.1.
