Item 5.07 Submission of Matters to a Vote of Security Holders.

On May 7, 2020, Nuveen Global Cities REIT, Inc. (the “Company”) held its 2020 annual meeting of stockholders (the “Annual Meeting”). Stockholders representing 30,354,505 shares, or 80.60% of the outstanding shares of the Company’s common stock, $0.01 par value per share, as of March 25, 2020, were present in person or were represented at the Annual Meeting by proxy.

The purpose of the Annual Meeting was to consider and vote upon the following two proposals:

 

  1.

To elect seven individuals to the board of directors for the ensuing year and until their respective successors are elected and qualify; and

 

  2.

To ratify the appointment of PricewaterhouseCoopers LLP as the Company’s independent public registered accounting firm for the year ending December 31, 2020.

At the Annual Meeting, the stockholders elected all seven director nominees and ratified the appointment of PricewaterhouseCoopers LLP. The votes cast with respect to each proposal were as follows:
