Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

These two events occurred on April 28, 2020:

(1) Daniel M. Lerner resigned as the company’s Vice President of Engineering and Chief Technology Officer, and the Board has subsequently accepted his resignation; and

(2) Jeff B. Barrett resigned as a Board Member, and as the Company’s Vice President of Strategic Planning, and the Board has subsequently accepted his resignation.

The Company has no plans at this time to fill the vacancies left by these two individuals.
