Item 1.01 Entry into a Material Definitive Agreement.

 

On April 30, 2020, REV Group, Inc. (the “Company”) entered into a Fifth Amendment (the “Amendment”) to the Term Loan and Guaranty Agreement (the “Agreement”) by and among the Company, as Borrower, the subsidiary guarantors party thereto, Ally Bank, as Administrative Agent and Collateral Agent, and the other lenders and agents party thereto. Among other things, the Amendment eliminates the requirement for quarterly compliance with the net leverage ratio covenant test and replaces it with an updated fixed charge coverage ratio test minimum of 1.25x through the end of fiscal 2020. At the end of the fiscal 2021 first quarter, the Agreement’s fixed charge coverage ratio will revert to a quarterly net leverage ratio test of less than 5.25x, which will be reduced by 0.25x each fiscal quarter thereafter until it reaches 4.25x by the end of the fiscal 2022 first quarter. The Amendment also (i) changes the definition of “EBITDA” to account for certain cost synergies in connection with the Company’s recently completed acquisition of Spartan Emergency Response from Spartan Motors, Inc. and (ii) imposes certain additional limitations on the Company’s ability to repurchase its common stock, declare or pay dividends on its common stock or make other restricted payments.
