Item 5.02: Departure of Directors or Certain Officers; Election of Directors, Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

Departure of Directors

 

David E. Friedman resigned as a member of the board of directors of Genprex, Inc. (the “Board”) effective as of April  15, 2020. Mr. Friedman had served as a member of the Board since August 2012. At the time of Mr. Friedman’s resignation, he was an independent director and member of the Audit Committee of the Board, the Compensation Committee of the Board and the Nominating and Corporate Governance Committee of the Board. Mr. Friedman’s resignation as a member of the Board also constitutes his resignation as a member of each of these committees. Mr. Friedman’s resignation was not because of a disagreement with the Company on any matter relating to the Company’s operations, policies or practices.

 

Robert W. Pearson resigned as a member of the Board effective as of April 15, 2020. Mr. Pearson had served as a member of the Board since July 2012. At the time of Mr. Pearson’s resignation, he was an independent director and member of the Audit Committee of the Board, the Compensation Committee of the Board and the Nominating and Corporate Governance Committee of the Board. Mr. Pearson’s resignation as a member of the Board also constitutes his resignation as a member of each of these committees. Mr. Pearson’s resignation was not because of a disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
