Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 14, 2020, the Board of Directors (the “Board”) of Byline Bancorp, Inc. (the “Company”) appointed Steven P. Kent, who was previously appointed to the Board on June 7, 2019, as a member of the Governance and Nominating Committee and Compensation Committee of the Company and Byline Bank, the Company’s subsidiary bank. Mr. Kent also currently serves as a member of the Risk Committee of the Company, as well as the Risk and ALCO Committees of Byline Bank.
