Item 1.01

Entry into Material Definitive Agreement

 

Sale and Issuance of Eagle Equities, LLC Term Note

 

The Company entered into a Securities Purchase Agreement and Promissory Note dated April 8, 2020, in the net amount of $100,000. The lender was Eagle Equities, LLC. The new note carries a 12% interest rate and has a maturity date of twelve (12) months from the date of execution. The Company may prepay the note, and management intends to fulfill this option, at a premium of 110% to 140% of principal and interest between the date of issuance and 180 days thereafter. Should the note not be paid in full, any remaining balance, at any time after 180 days after issuance may be convertible into the Company’s common stock at a conversion price for each share of common stock equal to 60% of the lowest traded price of the Company's common stock for the 20 prior trading days including the day upon which a notice of conversion is received by the Company. The documents related to this transaction can be found in Exhibits 4.01 and 4.02 to this filing, The use of proceeds requires the Company to redeem certain previously issued convertibles notes, and there is a prohibition in the agreement against additional discounted convertible notes.

Entry into Termination of a Material Definitive Agreement.

 

Repayment of Certain Previously Issued Convertible Notes

 

As a part of its recently announced initiative to eliminate its convertible note financings, on April 13, 2020, True Nature Holding, Inc. (the “Company”) paid in full a previously issued convertible notes with PowerUp Lending Group, LTD (“PowerUp”). The PowerUp Convertible Bridge Note dated October 15, 2019, which had a face amount of $54,000, was paid in full for $$84,230.79 including all accrued interest.

The applicable information set forth in Item 1.01 of this Current Report on Form 8-K is incorporated by reference in this Item 3.02. The issuance of the securities set forth herein was made in reliance on the exemption provided by Section 4(a)(2) of the Securities Act for the offer and sale of securities not involving a public offering. The recipient of the Securities is an accredited investor.

On April 17, 2020, True Nature Holding, Inc issued a press announcing that it engaged CIM Securities LLC to act as its investment advisor with regards to investment banking activities.
