Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On April 13, 2020, the Board of Directors (the “Board”) of CTI BioPharma Corp. (the “Company”) amended its bylaws by approving and adopting the Amended and Restated Bylaws of the Company (the “Amended Bylaws”). The Amended Bylaws change the Company’s vote requirement in uncontested elections of directors from a plurality vote standard to a majority vote standard. The Company believes that the majority vote standard provides greater accountability to stockholders.
