On April 13, 2020, we filed with the SEC a prospectus supplement in connection with our previously announced ATM Offering to our previously filed and currently effective shelf Registration Statement on Form S-3 (File No. 333-222853) (the “Registration Statement”). This Current Report on Form 8-K shall not constitute an offer to sell or the solicitation of an offer to buy the securities discussed herein, nor shall there be any offer, solicitation, or sale of the securities in any state in which such offer, solicitation or sale would be unlawful prior to registration or qualification under the securities laws of any such state.  The prospectus supplement includes a new risk factor and a discussion of the COVID-19 pandemic on our business and also incorporates by reference the “Risk Factors” section of our latest Annual Report on Form 10-K filed with the SEC and any updates to those risk factors or new risk factors contained in our subsequent Quarterly Reports on Form 10-Q and Current Reports on Form 8-K filed with the SEC. The new risk factor and the discussion of the COVID-19 pandemic on our business are filed herewith as Exhibit 99.1 to this Current Report on Form 8-K and are incorporated herein by reference.
