ITEM 8.01 OTHER MATTERS.

 

Due to the  outbreak and impact of the coronavirus disease  (“COVID-19”) on the conduct of the  31 December 2019 fiscal year end annual audit of  TapServices, Inc., a Filipino company (“TSI”) and a significant operating subsidiary of Value Exchange International, Inc., a Nevada corporation, (the “Company”), the audit of TSI will not be completed in time for the consolidation of TSI financial results with the Company’s other financial results and the timely filing of the Form 10-K Annual Report of the Company for the fiscal year ended 31 December 2019 (“Annual Report”) with the U.S. Securities and Exchange Commission (“SEC”).  

 

The Company is filing this current report on Form 8-K to avail itself of an extension to file its Annual Report, which was originally due for filing with the SEC on March 30, 2020, under an order issued by the SEC on March 4, 2020 pursuant to Section 36 of the Securities Exchange Act of 1934, as amended (SEC Release No. 34-88318) regarding exemptions granted to certain public companies affected by COVID-19.

 

By late December 2019, China advised the World Health Organization (“WHO”) of a new strain of the coronavirus had arisen in Wuhan, China and spread throughout China. From China, COVID-19 has spread by March 2020 to almost all other parts of the developed world, including Hong Kong SAR, the Philippines and the United States. On January 30, 2020, WHO declared the outbreak of COVID-19 a “Public Health Emergency of International Concern,” and then, on March 11, 2020, declared the COVID-19 outbreak as a “pandemic”.

 

COVID-19 has adversely impacted the ability of the TSI personnel to work with local auditors to complete the TSI annual audit. TSI and Company personnel are working remotely and are subject to travel restrictions imposed by government authorities for the locations TSI’s and Company’s respective  offices. As a result, the necessary and immediate access of records and information and ability of personnel to meet, work and travel in the conduct of the audit of TSI has been adversely affected and caused a delay in preparation and completion of the TSI’s signed audit report for December 31, 2019 fiscal year end financial results.

 

Based on the foregoing, the Company expects to file the Annual Report on or around May 1, 2020 but no later than May 14, 2020.
