Item 1.01 Entry into a Material Definitive Agreement.
On March 17, 2020, iFresh Inc. (the “Company”) entered into a purchase agreement (the “Acquisition Agreement”) with Guo Hui Ji, a citizen of the People’s Republic of China (the “Seller”) and Xiamen DL Medical Technology Co, Ltd., a People’s Republic of China company, pursuant to which the Seller will sell his 70% equity interests in Xiamen DL Medical Technology Co, Ltd. to the Company (the “Equity Interests”). In consideration for the Equity Interests, the Company shall pay to the Seller $600,000 in cash and issue 900,000 shares of common stock of the Company to the Seller. The closing of the acquisition is subject to customary terms and conditions as set forth in the Acquisition Agreement.
Item 8.01 Other Events.
On March 17, 2020, the Company issued a press release announcing it had signed the aforesaid Acquisition Agreement. A copy of such press release is attached to this report as Exhibit 99.1.
