Item 2.02

Results of Operations and Financial Condition.

On March 16, 2020, Kaleyra, Inc. (the “Company”) issued a press release announcing its financial results for its fiscal year ended December 31, 2019. A copy of the Company’s press release is attached as Exhibit 99.1 to this Current Report and is incorporated herein by reference.

The information contained in this Item 2.02, including Exhibit 99.1 attached hereto, shall not be deemed “filed” with the Securities and Exchange Commission nor incorporated by reference in any registration statement filed by the Company under the Securities Act of 1933, as amended.

 

Item 8.01

Other Events

In accordance with the Securities and Exchange Commission Order Under Section 36 of the Securities Exchange Act of 1934 Granting Exemptions from Specified Provisions of the Exchange Act and Certain Rules Thereunder, SEC Release No. 34-88318, dated March 4, 2020 (the “Order”), the Company hereby discloses: (i) that it is relying on the relief provided by the Order in connection with the filing of its Annual Report on Form 10-K for the fiscal year ended December 31, 2019 (the “Annual Report”), (ii) as the Company is headquartered in Milan, Italy, the ongoing lockdown and quarantine imposed by the Italian government in response to the COVID-19 public health emergency has made it impossible (a) for the Company and third parties in Italy to provide information to the Company’s independent registered public accounting firm to enable the completion of the audit of the Company’s consolidated financial statements in time to allow for, or (b) to otherwise enable, the Company to complete the internal processes required to approve and file the Annual Report on a timely basis, and (iii) the Company expects to file the Annual Report on or before March 30, 2020.

The Company does not believe COVID-19 will have a material impact on its business, and the reason the Annual Report cannot be filed timely does not relate to the inability of any person, other than the Company, to furnish any required opinion, report, or certification.
