Item 8.01.  Other Events.

On March 9, 2020, Pattern Energy Group Inc., a Delaware corporation (the “Company”), issued a press release related to the Proxy Alert report published by ISS on March 9, 2020 regarding the Company’s pending transaction with Canada Pension Plan Investment Board (the “Transaction”).  The Company reiterated the Board of Directors’ recommendation that stockholders vote “FOR” the proposals relating to the Transaction.

A copy of the press release is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
