Item 5.02
Departure of Directors or Principal Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.


On March 2, 2020, John Wiens notified Preferred Apartment Communities, Inc. (the "Company") of his decision to not stand for re-election to the Company's Board of Directors (the "Board") at the May 7, 2020 annual meeting of stockholders (the "2020 Annual Meeting"). This decision was made in connection with Mr. Wiens decision to continue his employment at Morgan Stanley. Mr. Wien's decision not to stand for re-election was not due to a disagreement with the Company on any matter relating to the Company’s operations, policies or practices.

In addition, as previously disclosed in the Company's Annual Report on Form 10-K, the Company entered into a consulting agreement with Leonard A. Silverstein on March 3, 2020. In the consulting agreement, among other things, Mr. Silverstein resigned from the Board effective as of the 2020 Annual Meeting and will not stand for re-election. Mr. Silverstein's decision to resign was not due to a disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
