Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers;

Compensatory Arrangements of Certain Officers.

 

Effective March 1, 2020, the Board of Directors of PeerStream, Inc. (the “Company”) made the determination to separate Eric Sackowitz from his position as the Company’s Chief Technology Officer. This determination was made in connection with the Company’s previously disclosed entry into the Asset Purchase Agreement (the “Agreement”) with SecureCo, LLC (“Buyer”), made on February 21, 2020, whereby the Company agreed to sell substantially all of the assets related to its secure communications business. Mr. Sackowitz is expected to be involved with the Buyer following the closing of the transaction and will continue the promotion and development of that business.
