Item 5.02 Departure of
Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On February 25, 2020, Jeffrey E. Smith, who has reached the age of 70, notified Ohio Valley Banc Corp. (the “Company”) of his intent to retire from the Board of Directors of the Company and its subsidiary, The Ohio Valley
Bank Company (the “Bank”), at the 2020 Annual Meeting of Shareholders to be held in May, pursuant to the Company’s mandatory retirement policy for directors. Mr. Smith’s retirement is not due to any disagreement with the Company or the Bank.
