(b) Resignation of a director

 

On February 17, 2020, Matthew Mecke notified Value Exchange International, Inc. (the “Company”) that he will be resigning from the Board of Directors of the Company (“Board”), effective February 18, 2020. Mr. Mecke’s resignation is not due to any disagreement with the Company.

 

The Board intends to appoint a new director to the Board to fill the vacant seat created by Mr. Mecke resignation. The Board believes that diversity can strengthen board performance and is actively searching for women and other candidates with diverse backgrounds and experiences.
