 Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

 

On January 8, 2020, Gordon Pointe Acquisition Corp. (the “Company”) received a written notice (the “Notice”) from the Listing Qualifications Department of The Nasdaq Stock Market (“Nasdaq”) indicating that the Company was not in compliance with Listing Rules 5620(a) and 5810(c)(2)(G) (the “Annual Shareholders Meeting Rule”), which requires the Company to hold an annual meeting of shareholders within twelve months of the end of the Company’s fiscal year end for continued listing on the NASDAQ Capital Market. The Notice is only a notification of deficiency, not of imminent delisting, and has no current effect on the listing or trading of the Company’s securities on the Nasdaq Capital Market. The Notice states that the Company has 45 calendar days, or until February 22, 2020, to submit a plan to regain compliance with the Annual Shareholders Meeting Rule.

 

The Company has delayed the holding of its annual meeting of stockholders due to the pendency of its previously-announced business combination with HOF Village, LLC (“HOFV”) and the related special meeting of stockholders described in the proxy statement/prospectus included in the Registration Statement on Form S-4 (as amended, the “Registration Statement”) filed by GPAQ Acquisition Holdings, Inc. (“Holdings”). The closing of the business combination is subject to approval by the stockholders of the Company, among other conditions described in the Registration Statement.

 

The Company intends to submit a plan to regain compliance with the Annual Shareholders Meeting Rule within the required timeframe. If Nasdaq accepts the Company’s plan, Nasdaq may grant the Company an exception of up to 180 calendar days from the fiscal year end, or until June 29, 2020, to regain compliance. If Nasdaq does not accept the Company’s plan, the Company will have the opportunity to appeal the decision in front of a Nasdaq Hearings Panel.

 

 Additional Information

 

On December 31, 2019, the Company filed with the SEC a definitive proxy statement regarding an additional extension of the deadline to complete its initial business combination from January 29, 2020 to February 29, 2020, plus an option for the Company to further extend the deadline for an additional 30 days (the “Extension Proxy Statement”). Further, in connection with the proposed business combination between the Company and HOFV, Holdings has filed with the SEC a registration statement on Form S-4 on November 12, 2019 for the Holdings securities to be issued to the security holders of the Company and the members of HOF Village Newco, LLC at the closing of the business combination, which includes a preliminary proxy statement/prospectus and other documents concerning the proposed business combination and related matters (the “Registration Statement and Merger Proxy Statement”). Investors and security holders are advised to read the Extension Proxy Statement, the Registration Statement and the Merger Proxy Statement, and amendments thereto and the definitive proxy statements, when available, which will contain important information about the proposed extension and the proposed business combination and the parties to it. The Extension Proxy Statement is being mailed to stockholders of the Company as of December 24, 2019 and the Registration Statement and definitive Merger Proxy Statement will be mailed to stockholders of the Company as of a record date to be established for voting on the proposed business combination.
