Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 31, 2019, F. Jacob Cherian notified the Board of Directors (the “Board”) of Simplicity Esports and Gaming Company (the “Company”) of his resignation, effective immediately, from his position as Class II director. Mr. Cherian’s resignation is not as a result of any disagreement with the Company on any matter relating to the Company's operations, policies or practices. The Board is currently vetting qualified candidates to fill the Board vacancy created by Mr. Cherian’s resignation.
