Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On December 10, 2019, Jim Heppell tendered his resignation effective immediately from our Board of Directors. Mr. Heppell’s registration is unrelated to a disagreement with the Company. The Company would like to thank Mr. Heppell for his 16 years of service to the Company and wish him the best in his future endeavors.

 

On December 11, 2019, the Board of Directors approved a reduction in the size of the board from 6 seats to 5 seats.
