  Item 7.01 Regulation FD Disclosure.

 

In connection with the previously announced proposed business combination (the “business combination”) between B. Riley Principal Merger Corp., a Delaware corporation (the “Company” or “BRPM”), and Alta Equipment Holdings, Inc., a Michigan corporation (“Alta”), BRPM and Alta held a joint investor conference call on December 13, 2019 to discuss the business combination. A transcript of the conference call is attached hereto as Exhibit 99.1 and incorporated by reference herein.
