Item 8.01. Other Events.

 

On December 14, 2018, we received a letter from NYSE Regulation, Inc. (“NYSE Regulation”) informing us that we regained compliance with all of the NYSE American LLC continued listing standards set forth in Part 10 of the NYSE American Company Guide (the “Company Guide”). Specifically, we resolved the previously reported continued listing deficiency with respect to Section 1003(a)(iii) of the Company Guide related to the amount of our stockholders’ equity as of December 31, 2017.

 

We will be subject to NYSE Regulation’s normal continued monitoring. However, in accordance with Section 1009(h) of the Company Guide, if we are again determined to be below any of the continued listing standards within twelve months of December 14, 2018, NYSE American will examine the relationship between the two incidents of noncompliance and re-evaluate our method of financial recovery from the first incident. NYSE Regulation will then take appropriate action, which, depending on the circumstances, may include truncating the compliance procedures described in Section 1009 of the Company Guide or immediately initiating delisting proceedings.
