   ITEM 7.01           REGULATION FD DISCLOSURE.
 
On December 17, 2018, Inuvo, Inc. (“Inuvo”) issued a press release announcing that ConversionPoint Holdings, Inc. (“ConversionPoint Holdings”) has filed with the U.S. Securities and Exchange Commission a registration statement on Form S-4 containing a joint preliminary proxy statement/prospectus in connection with ConversionPoint Technologies, Inc. (“ConversionPoint Technologies”) proposed acquisition of Inuvo which is to be effected through ConversionPoint Holdings whereby ConversionPoint Technologies and Inuvo will become wholly-owned subsidiaries of ConversionPoint Holdings. A copy of the press release is attached as Exhibit 99.1 and is incorporated by reference into this current report on Form 8-K.
