Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On December 13, 2018, the Board of Directors of the Federal Home Loan Bank of Des Moines (Bank) approved amendments to the Bank’s bylaws, which became effective immediately upon their adoption. The primary purpose of the amendments was to clarify the restrictions on indemnification rights and payments arising in connection with administrative proceedings or civil actions initiated by the Federal Housing Finance Agency (FHFA), as set forth in the FHFA final rule on Indemnification Payments, 80 Federal Register 49987, October 4, 2018.

The foregoing description of the amendments to the Bank’s bylaws does not purport to be complete and is qualified in its entirety by reference to the amended and restated bylaws, a copy of which is attached hereto as Exhibit 3.1 and incorporated herein by reference.
