Item 8.01.

Other Events.

On December 3, 2018, Tribune Media Company, a Delaware corporation (“Tribune”), issued a press release announcing that on November 30, 2018, it entered into an agreement and plan of merger (the “Merger Agreement”) with Nexstar Media Group, Inc., a Delaware corporation (“Nexstar”), and Titan Merger Sub, Inc., a Delaware corporation and wholly owned subsidiary of Nexstar, pursuant to which Nexstar will acquire 100% of the issued and outstanding shares of common stock of Tribune.

A copy of the press release is attached hereto as Exhibit 99.1 and incorporated by reference herein. Additional details regarding the terms of the Merger Agreement will be filed with the Securities and Exchange Commission (the “SEC”) at a later date.

ADDITIONAL INFORMATION AND WHERE TO FIND IT

This communication is being made in respect of a proposed business combination involving Tribune and Nexstar. In connection with the proposed transaction, Tribune intends to file relevant materials with the SEC, including a preliminary proxy statement on Schedule 14A.
