Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

On November 29, 2018, eXp World Holdings, Inc. (NASDAQ: EXPI; “eXp” or the “Company”) appointed Dan Cahir as an independent member of the Company’s Board of Directors, effective immediately.

Mr. Cahir has more than 10 years of experience managing public and private equity investments across a variety of industries. Currently, Mr. Cahir serves as the Chief Executive Officer and Chief Investment Officer of Amherst Ave Capital, positions he has held since June 2018. From June 2013 to June 2018, Mr. Cahir served as a portfolio manager at Long Light Capital, managing a public equity portfolio and evaluating venture capital and private equity investments and allocations to external fund managers. From September 2011 to April 2013, Mr. Cahir was a member of the investment team at Ziff Brothers Investments, a private investment firm.

Mr. Cahir obtained a B.A. in Economics in 2005 from Claremont McKenna College and an M.B.A. from Harvard Business School in 2011.

The Board of Directors believes that Mr. Cahir is qualified to serve as a director because of his extensive experience in managing equity portfolios and well as advising Fortune 500 clients on M&A, growth and cost-cutting strategies.

There are no arrangements or understandings between Mr. Cahir and any other persons pursuant to which he was appointed as a director.

Mr. Cahir will serve on the Audit Committee of the Board of Directors.

Mr. Cahir does not have any current or prior relationship with the Company that would require disclosure under Item 404(a) of Regulation S-K.

On December 3, 2018, the Company issued a press release announcing the appointment discussed above. A copy of the press release is filed with this Form 8-K as Exhibit 99.1.
