Item 8.01.
Other Events.
The waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “HSR Act”), in connection with the previously announced proposed “merger of equals” transaction between Cloudera, Inc. (“Cloudera”) and Hortonworks, Inc. (“Hortonworks”) was terminated on November 19, 2018. The early termination of the waiting period under the HSR Act satisfies one of the conditions to closing the merger. The merger remains subject to other customary closing conditions, including receipt of respective approval from Cloudera stockholders and Hortonworks stockholders. On November 19, 2018, Cloudera and Hortonworks issued a joint press release announcing the termination of the waiting period under the HSR Act. A copy of the press release is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
