Item 1.01. Entry into a Material Definitive Agreement.

 

On October 9, 2018, Loop Industries, Inc. (the “Company”), entered into a supply agreement for Loop PET (the “Agreement”) with Pepsi-Cola Advertising and Marketing, Inc. (“PCAM”). The Agreement is a multi-year supply agreement that enables PepsiCo (Nasdaq: PEP) through PCAM to purchase production capacity from the Company’s joint venture facility in the United States and incorporate Loop™ PET plastic, which is 100% recycled material, into its product packaging.

 

Pursuant to the Agreement, (i) the Company, either directly, or through an authorized manufacturer, will provide and deliver certain quantities of Loop™ PET plastic to certain bottle manufacturers affiliated with or contracting with PCAM. The Company makes certain representations, warranties and assurances as to the quality and grade of the Loop™ PET plastic.
