Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 26, 2018, LifePoint Health, Inc., a Delaware corporation (the “Company”), issued a press release announcing that Chairman and Chief Executive Officer William F. Carpenter III will retire upon completion of the Company’s previously announced pending merger with RegionalCare Hospital Partners Holdings, Inc. (D/B/A RCCH HealthCare Partners), a Delaware corporation (“RCCH”). Following his retirement, Mr. Carpenter is expected to serve as a member of the board of directors of the surviving corporation that will be appointed upon the closing of the merger. David Dill, the Company’s President and Chief Operating Officer is expected to assume the role of Chief Executive Officer of the surviving corporation upon Mr. Carpenter’s retirement. A copy of the press release announcing such matters is filed as Exhibit 99.1 hereto.
