Item 8.01.                                        Other Events.

On August 15, 2018, Strongbridge Biopharma plc (the “Company”)  issued a press release entitled “Strongbridge Biopharma plc Announces Termination of Public Offering,” a copy of which is hereby filed as Exhibit 99.1 and is incorporated herein by reference.  The termination results from an assessment by the Company’s management that current market conditions are not conducive for an offering on terms that would be in the best interests of the Company’s shareholders. As a result of such termination, no shares will be sold pursuant to the offering.
