Item 3.02 Unregistered Sales of Equity Securities
On or about July 25, 2018, NewBridge Global Ventures, Inc. (the “Company”) entered into Subscription Agreements (“Subscription Agreements”) with a number of investors for the purchase of 6,161,466 shares of restricted common stock at a per share price of $0.50 per share for a total consideration of US $3,080,733.
A form of the Subscription Agreements is filed as Exhibit 3.02 to this Current Report on Form 8-K.

On July 26, 2018, the Company issued a press release disclosing the acquisition described above. A copy of that press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
