On June 20, 2018, EQT Midstream Partners, LP, a Delaware limited partnership (EQM), issued two news releases announcing, respectively, an offering of senior notes by EQM and the pricing thereof.  Copies of the news releases are attached hereto as Exhibits 99.1 and 99.2, respectively, and incorporated by reference herein.
