Item 5.08 Shareholder Director Nominations.

On June 12, 2018, the Board of Directors, or the Board, of Ziopharm Oncology, Inc., or the Company, approved September 19, 2018 as the date of the Company’s 2018 Annual Meeting of Stockholders, or the Annual Meeting. Additionally, the Board approved July 23, 2018 as the record date for the Annual Meeting.

Qualified stockholder proposals (including proposals made pursuant to Rule 14a-18 under the Securities Exchange Act of 1934, as amended) to be presented at the Annual Meeting and included in the Company’s proxy statement and form of proxy must be received at the Company’s principal executive offices located at One First Avenue, Parris Building 34, Navy Yard Plaza, Boston, MA 02129, addressed to the Company’s Secretary, not later than July 20, 2018, which the Company has determined is a reasonable time before the Company begins to distribute the proxy materials for the Annual Meeting. Any such proposals must comply with applicable Delaware law, the rules and regulations promulgated by the Securities and Exchange Commission, and the procedures set forth in the Company’s By-laws.

 

Item 8.01 Other Events.

On June 18, 2018, the Company issued a press release announcing that the U.S. Food and Drug Administration placed on clinical hold a Phase 1 trial to evaluate CD19-specific CAR-T therapies manufactured under point-of-care and reported on the status of the Investigational New Drug application for such trial. A copy of the above referenced press release is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference
