(b) Resignation from the Board of Directors.

On May 30, 2018, James McGeever informed us of his intention to resign from the Board of Directors (the “Board”) of Twilio Inc. (the “Company”) effective as of June 13, 2018, and the Board has accepted his resignation. Mr. McGeever also resigned from the Company’s Compensation Committee and Audit Committee effective May 31, 2018. Mr. McGeever’s resignation was not the result of any dispute or disagreement with the Company or the Board. The Company thanks Mr. McGeever for his years of service as a member of the Board and Compensation and Audit Committees.
