Item 8.01 Other Events.

 

Upon election of Mr. Donald H. MacAdam to the Company’s Board of Directors and Audit Committee, as referenced in the Company’s Form 8-K filing on March 22, 2018, the Company rececived a letter from the NASDAQ Listing Qualifications Department (“NLQD”) dated March 23, 2018, which informed the Company that it has regained compliance with NASDAQ’s audit committee requirements as set forth in Listing Rule 5605(c)(2), and is no longer subject to the cure period set forth in the Letter from NASDAQ dated November 9, 2017 and referenced in the Company’s Form 10-Q filing on that same day. Therefore, the Company has fully regained compliance with NASDAQ’s Listing Rules and is not subject to any futher requirements at this time.
