Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

C. Harril Whitehurst, Jr., Executive Vice President and Chief Financial Officer of Village Bank and Trust Financial Corp. (the “Company”), notified the Board of Directors on January 16, 2018 of his intention to retire effective May 31, 2018. Mr. Whitehurst will be retiring from his positions as Executive Vice President and Chief Financial Officer of both the Company and its wholly-owned subsidiary, Village Bank (the “Bank”), and from his position as a member of the Board of Directors of the Bank’s wholly-owned subsidiary, Village Bank Mortgage Corporation.

 

Mr. Whitehurst joined the Company in September 2003 as Senior Vice President and Chief Financial Officer for both the Company and the Bank. In addition, he is a member of the Management and Asset/Liability Committees of the Bank. There have been no disagreements between Mr. Whitehurst and the Company pertaining to the Company’s operations, policies or practices.
