Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
 
On November 15, 2017, Cesar Donofrio resigned as a director of COPsync, Inc. by letter to the Board of Directors dated that date.  Mr. Donofrio’s letter of resignation did not state any reason for his resignation.  The Company and its executive officers (as defined in 17 CFR 240.3b-7) are not aware of any disagreement of Mr. Donofrio with the Company on any matter relating to the Company’s operations, policies or practices.
 
As previously disclosed, Mr. Donofrio is Chief Executive Officer of Making Sense, LLC, a creditor of the Company.  On November 13, 2017, Making Sense, LLC filed an objection in the Company’s Chapter 11 bankruptcy case to the sale of assets pursuant to Section 363 of the Bankruptcy Code.
