Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

 

On November 14, 2017, Medovex Corp., a Nevada corporation (the “Company”) received a letter from the Listing Qualifications Department of the NASDAQ Stock Market (the “Panel”) notifying the Company that the Panel had determined to delist the Company’s shares from the Nasdaq Stock Market, and will suspend trading in those shares effective at the open of business on November 16, 2017. The Nasdaq Stock Market will complete the delisting by filing a Form 25 Notification of Delisting with the Securities Exchange Commission, after applicable appeal periods have lapsed. The Company does not plan to appeal the Panel’s decision, and has applied with OTC Markets Inc. to be listed on their OTCQB exchange.
