Item 1.01.  Entry into a Material Definitive Agreement.

 

As previously disclosed in a Form 8-K filed by NeuroOne Medical Technologies Corporation (the “Company”) with the Securities and Exchange Commission on October 6, 2017 (the “Initial Form 8-K), the Company entered into a subscription agreement dated October 4, 2017 (the “Subscription Agreement”) with a number of institutional and accredited investors (collectively, the “Subscribers”) pursuant to which the Company, in a private placement (the “Private Placement”), agreed to issue and sell to the Subscribers 8% convertible promissory notes (each, a “Note” and collectively, the “Notes”) and warrants (each, a “Warrant” and collectively, the “Warrants”) to purchase shares of the Company’s capital stock. Please see the Initial Form 8-K for further disclosure regarding the terms of the Private Placement. Capitalized terms not otherwise defined herein shall have the meanings assigned to such terms in the Initial Form 8-K.

 

On November 7, 2017, the Company entered into the Subscription Agreement with an additional Subscriber, and issued a Note in a principal amount of $100,000 to that Subscriber.

 

In aggregate, pursuant to all closings in the Private Placement, the Company has issued Notes in an aggregate principal amount of $365,000 to the Subscribers.

 

Item 3.02.  Unregistered Sales of Equity Securities.

 

As described more fully in Item 1.01 above, which description is hereby incorporated by reference into this Item 3.02, the Company has agreed to sell the Notes and the Warrants issued in the Private Placement to the Subscribers, all of whom are accredited investors, in reliance on the exemption from registration provided by Section 4(a)(2) of the Securities Act of 1933, as amended (the “Securities Act”), and Rule 506 of Regulation D promulgated thereunder. The Company will rely on this exemption from registration based in part on representations made by the Subscribers. The net proceeds to the Company from the Private Placement will be used for general working capital. The Notes and Warrants have not been and will not be registered under the Securities Act or applicable state securities laws and may not be offered or sold in the United States absent registration under the Securities Act or an exemption from such registration requirements. Neither this Current Report on Form 8-K nor any exhibit attached hereto shall constitute an offer to sell or the solicitation of an offer to buy the Notes, the Warrants, shares of Common Stock or any other securities of the Company.
