Item 5.02.     Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officer; Compensatory Arrangements of Certain Officers.
On September 6, 2017, Atkore International Group Inc. granted a retention bonus  (the “Retention Bonus”) to James A. Mallak, its Vice President and Chief Financial Officer.  The Retention Bonus that Mr. Mallak received is a cash retention bonus in the amount of $450,000 payable in two $225,000 installments on July 1, 2018 and December 31, 2018 subject to his continued employment through each of these dates.  His Retention Bonus award also provides that Mr. Mallak will receive $37,500 for each month he remains employed with the Company beyond December 31, 2018, payable at the end of each month.
